Terms of Service for Using SvereSystems

These Terms of Service (“Terms”) govern your access to and use of SvereSystems (“SvereSystems”, “we”, “us”, or “our”), including the website at sveresystems.com, the platform at leads.sveresystems.com, and related products, business enquiries, fit reviews, and services. By creating an account, starting a trial, submitting a fit review, or otherwise using the Service, you agree to be bound by these Terms.

1. Overview

Agreement to the Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you and the operator of SvereSystems, Sveresa tmi (Y-tunnus 3592316-3), Espoo, Finland, when you access or use:

  • our website at https://sveresystems.com,
  • our platform at https://leads.sveresystems.com,
  • our fit review, enquiry, onboarding, or support flows, and
  • any other related tools, products, or services that link to these Terms (collectively, the “Service”).

By creating an account, starting a trial, submitting a fit review or enquiry, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Eligibility & account creation

Who may use SvereSystems

The Service is intended for professional and business use. By using the Service, you represent and warrant that:

  • You are at least 18 years old.
  • You have the legal capacity to enter into a binding agreement.
  • If you are using the Service on behalf of a company or organisation, you have authority to bind that entity to these Terms and “you” refers to both you and that entity.

To create an account, request certain services, or use certain features, you may need to provide accurate and complete information, including a valid email address and any other details requested during registration, purchase, or enquiry. You agree to keep this information up to date.

3. Account security & responsibilities

Your obligations as an account holder

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • ensuring that each individual user has their own login where your plan requires it;
  • all activities that occur under your account, including activities carried out by team members or other authorised users.

You must notify us promptly if you suspect unauthorised access to your account or any breach of security.

We are not liable for loss or damage arising from your failure to keep account credentials secure or to appropriately manage access to your account.

4. Permitted & prohibited use

How you may and may not use the Service

You may use SvereSystems only for lawful purposes and in accordance with these Terms. In particular, you agree not to:

  • use the Service in any way that violates applicable laws or regulations;
  • use the Service to send unsolicited or unauthorised advertising, promotional materials, or spam;
  • harass, threaten, or harm others, or use the Service to support such activities;
  • upload, transmit, or distribute viruses, malware, or other harmful code;
  • attempt to gain unauthorised access to the Service, other accounts, or computer systems;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except where explicitly permitted by law;
  • circumvent or attempt to bypass any limits on usage, rate limits, or plan restrictions;
  • create multiple free accounts or trials to avoid subscription limits or fees;
  • misuse fit review, contact, or enquiry forms for deceptive, abusive, or unlawful purposes.

We reserve the right to investigate any violation of these Terms and to take appropriate action, including account suspension or termination, where we believe misuse has occurred.

5. Leads & third-party personal data

Your responsibilities as data controller

The Service may allow you to upload, store, enrich, and manage information about third parties, such as leads, prospects, and business contacts (“Lead Data”). To the extent Lead Data contains personal data:

  • You act as the data controller for such Lead Data.
  • SvereSystems acts as your data processor or service provider for that data, subject to applicable law and any relevant contractual terms.
  • You are responsible for ensuring that your collection and use of Lead Data complies with applicable laws, including data protection, privacy, and marketing regulations.
  • You must ensure you have an appropriate legal basis (for example, legitimate interest or consent where required) to process and contact individuals contained in Lead Data.

6. Subscription, billing & trials

Plans, renewals, payments and cancellations

Some parts of SvereSystems are offered on a subscription basis. Specific plan details, including pricing, usage limits, and included features, are presented on our website or in the relevant ordering interface.

  • Trial period
    New users may receive a free trial where offered. During the trial, you can use the relevant part of the Service under these Terms. At the end of the trial, your subscription may automatically convert to a paid plan and your chosen payment method may be charged, unless you cancel before the trial ends, if this is stated in the relevant offer or checkout flow.
  • Billing and renewal
    Paid subscriptions are billed in advance at the start of each billing period (for example, monthly or annually). Unless you cancel your subscription, it may renew automatically at the then-current price where automatic renewal applies.
  • Payment method
    You must provide a valid payment method for paid plans. By submitting payment information, you authorise SvereSystems and its payment processor to charge applicable fees and taxes.
  • Price changes
    We may update our prices from time to time. We will provide notice of material price changes in accordance with applicable law. Continued use of the relevant paid Service after a price change takes effect constitutes acceptance of the new price.
  • Refunds
    Since SvereSystems is a business-oriented digital service, fees are generally non-refundable once charged, except where mandatory refund rights apply under Finnish or EU law or where we explicitly state otherwise.
  • Cancellation
    You can cancel your subscription in accordance with the options available in your account settings, billing interface, or by contacting us. Cancellation normally takes effect at the end of the current billing period unless otherwise stated.
Important: If you do not wish a trial to convert into a paid subscription, you must cancel before the trial ends where automatic conversion applies. Always review the specific trial and checkout terms presented at sign-up.
7. Service changes & availability

Updates, improvements and downtime

We continuously work to improve the Service. This may include updating features, fixing bugs, adding new tools, changing workflows, or removing outdated functionality.

We reserve the right to:

  • modify the Service, its features, and interfaces;
  • temporarily suspend the Service for maintenance, security, or operational reasons;
  • discontinue certain features, plans, or service elements, provided we respect applicable law and reasonable notice requirements.

Although we aim for high availability, we do not guarantee uninterrupted or error-free operation of the Service.

8. Intellectual property & limited licence

Ownership of the Service and your right to use it

SvereSystems, its underlying software, visuals, branding, content, and all related intellectual property are owned by or licensed to us. All rights not expressly granted to you in these Terms are reserved.

Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the relevant parts of the Service for your internal business purposes.

You may not:

  • copy, modify, or create derivative works of the Service;
  • resell, sublicense, or otherwise make the Service available to third parties except as permitted by your plan or with our written permission;
  • remove, obscure, or alter any copyright, trademark, or proprietary notices;
  • frame or mirror the Service, except with our prior written consent.
9. User content

Content you submit or upload

You may submit or upload content to the Service, including Lead Data, notes, text, and other materials (“User Content”). You remain the owner of your User Content.

By submitting User Content, you grant SvereSystems a limited, non-exclusive, worldwide licence to host, store, process, display, and transmit such content solely as necessary to operate, secure, and improve the Service and to fulfil our obligations under these Terms.

You represent and warrant that:

  • you have all necessary rights and permissions to submit User Content to the Service;
  • your User Content does not infringe the rights of any third party;
  • your User Content complies with these Terms and with applicable laws.

We may remove or disable access to User Content that we reasonably believe violates these Terms or the law, without prior notice where legally permissible.

10. Term & termination

How these Terms apply over time

These Terms apply from the moment you first use the Service, submit a relevant request, or create an account, and continue until your account is closed and you cease all use of the Service.

We may suspend or terminate your access to the Service if:

  • you materially or repeatedly breach these Terms;
  • we are required to do so by law or by a competent authority;
  • continuing to provide the Service would create a significant risk for us or other users.

Upon termination:

  • your right to access and use the Service will end;
  • we may delete or anonymise your data in accordance with our data retention practices and legal obligations;
  • no refunds or credits will be provided for any unused portion of a billing period, unless required by law or expressly stated otherwise.
11. Disclaimers & warranties

What you can expect from the Service

The Service is provided on an “as is” and “as available” basis. While we aim to provide a reliable and secure service, we do not guarantee that:

  • the Service will be uninterrupted, timely, secure, or error-free;
  • any defects or errors will be corrected immediately;
  • the Service will meet your specific performance, revenue, commercial, or business expectations.

Nothing in these Terms excludes or limits any warranties, guarantees, or remedies that cannot be excluded or limited under applicable law.

12. Limitation of liability

Our responsibility for loss or damage

To the maximum extent permitted by applicable law, SvereSystems and its owner shall not be liable for:

  • any indirect, incidental, special, or consequential damages;
  • loss of profits, revenue, business, contracts, data, goodwill, or anticipated savings;
  • damages arising from unauthorised access to your account where we have implemented appropriate security measures.

To the extent we are found liable for any claim arising out of or related to the Service or these Terms, our total aggregate liability will be limited to the amount of fees you paid for the relevant Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for gross negligence, intentional misconduct, or any other liability that cannot be limited or excluded under Finnish law.

13. Indemnity

When you need to reimburse us

To the extent permitted by applicable law, you agree to indemnify and hold harmless SvereSystems from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of:

  • your breach of these Terms;
  • your unlawful use of the Service;
  • your processing of Lead Data or other personal data in violation of applicable law.
14. Governing law & dispute resolution

Applicable law and competent courts

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of Finland, without regard to conflict of law rules.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts of Finland, unless mandatory law provides otherwise.

15. Changes to Terms & how to contact us

Updating these Terms and reaching SvereSystems

We may revise these Terms from time to time, for example to reflect changes in the Service, in applicable law, or in our business arrangements.

When we make material changes, we will:

  • update the “Last updated” date at the top of this page; and
  • provide additional notice via the Service or email when required by law.

By continuing to use the Service after the updated Terms become effective, you agree to be bound by the revised version.
